Terms of Service

These Terms of Service (“Terms”) apply to your use of https://mscaler.com and to all services provided by Mscaler (“Mscaler”, “we”, “our”, “us”), a growth marketing agency based in Bhadohi, Uttar Pradesh, India. By using our website, or by accepting a proposal, invoice or agreement from us, you agree to these Terms. If you have questions, email us at ashu@mscaler.com.

The short version

  • Price and scope are agreed in writing before any work starts.
  • All payments are non-refundable.
  • We don’t guarantee specific results, such as revenue, ROAS or number of leads, because ad platforms and markets are outside anyone’s full control.
  • Either side can end the work with 15 days’ written notice.
  • Any dispute is handled under Indian law, in Bhadohi, Uttar Pradesh.

1. Our services

We provide performance marketing, lead generation, Shopify development, WhatsApp automation and related consulting. The exact scope, deliverables, timeline and fees for your project are set out in our proposal, invoice or written agreement with you (your “Agreement”). If anything in your Agreement differs from these Terms, your Agreement applies.

We run, manage and advise on advertising. We do not produce ad creatives or content (such as videos, photos, graphics or copywriting) unless your Agreement specifically says so. We can guide you on what types of creative are likely to work.

2. Pricing and payment

  • Fees depend on the scope of each project and are confirmed in your Agreement before work begins.
  • Fees are charged in the currency shown on your invoice (usually INR or USD), plus any applicable taxes such as GST.
  • Monthly fees are payable in advance, by the due date on the invoice, unless your Agreement says otherwise.
  • Ad spend is separate from our fees. You pay advertising platforms (such as Google or Meta) directly, and you are responsible for that spend.
  • Any work outside the agreed scope is quoted and charged separately, and invoiced to you.
  • If a payment is late, we may pause the work until it is received.

3. Refunds and cancellation

  • All fees are non-refundable once paid, including for any month or project period that has already started, whether or not you use the full service.
  • To cancel, give us 15 days’ written notice by email. Fees for the notice period remain payable, and we will continue the work during that period.
  • When the work ends, we hand back access to your accounts and the assets you own (see section 6).
  • If we are unable to start work you have already paid for, for reasons on our side, we will refund the amount for the work not started.

4. No guarantee of results

Marketing results depend on many things outside our control, including advertising platforms, their algorithms and policies, your product, pricing, website, stock, competition and market conditions. We commit to doing professional, careful work, but we do not guarantee any specific outcome, such as revenue, sales, return on ad spend, cost per lead, number of leads or search rankings. Any figures shared in proposals or calls are estimates, not promises.

5. Your responsibilities

  • Give us timely access to the accounts, information, approvals and creative material we need.
  • Make sure your products, offers, claims, website and ads are legal and follow the policies of each advertising platform.
  • Make sure you have the right to share any customer data with us (for example, contact lists for WhatsApp or ad audiences), including any consent the law requires.
  • Keep your own ad accounts, payment methods and business accounts in good standing.

We are not responsible for delays, rejected ads or suspended accounts caused by missing access, late approvals, your content, or decisions made by advertising platforms.

6. Ownership

You own your ad accounts, website, store, data and the materials you provide. Once all fees are paid, you also own the deliverables we create specifically for you under your Agreement. We keep ownership of our own methods, templates, tools and know-how, and we may describe the type of work we did for you in our marketing without sharing your confidential information, unless you ask us not to.

7. Confidentiality

We keep your business information, data and account details confidential and use them only to deliver our services, except where we are required by law to disclose them. We ask you to keep our proposals, pricing and methods confidential too.

8. Limitation of liability

To the fullest extent the law allows, Mscaler’s total liability for any claim relating to our services or website is limited to the fees you paid us in the three (3) months before the claim arose. We are not liable for indirect or consequential losses, such as lost profits, lost revenue, lost data, ad spend, or business interruption. Nothing in these Terms limits liability that cannot be limited by law, such as liability for fraud.

9. Use of our website

The content on our website is for general information only and is not professional advice for your specific situation. All content, design, text and graphics on this website belong to Mscaler and may not be copied or reused without our written permission. Our website may link to third-party websites, which we do not control and are not responsible for.

How we handle personal information is explained in our Privacy Policy.

11. Governing law and disputes

  • These Terms and every Agreement are governed by the laws of India.
  • If a dispute arises, we will first try to resolve it by talking in good faith for 30 days.
  • If it is not resolved, it will be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration will be Bhadohi, Uttar Pradesh, India, and the proceedings will be in English.
  • Subject to the above, the courts having jurisdiction over Bhadohi (Sant Ravidas Nagar), Uttar Pradesh, India will have exclusive jurisdiction.

12. Changes to these Terms

We may update these Terms from time to time. The latest version will always be on this page, with the “Last updated” date at the top. Changes do not affect work already agreed in a signed Agreement unless both sides agree.
